Welcome to SecurityX. These Terms of Service ("Terms") govern your access to and use of the SecurityX platform, operated by SecurityX Ltd ("SecurityX," "we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using SecurityX, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using SecurityX on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age and have the legal capacity to enter into contracts to use SecurityX. By using our platform, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

SecurityX is an operating system for the modern security industry, providing a platform that connects pre-vetted security professionals ("Agents") with security agencies and organizations seeking qualified personnel ("Agencies").

3. Account Registration

To access certain features of SecurityX, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may only maintain one account per individual or organization. Creating multiple accounts may result in termination of all accounts.

4. User Conduct

You agree to use SecurityX only for lawful purposes and in accordance with these Terms. You shall not:

• Provide false, misleading, or fraudulent information
• Misrepresent your qualifications, credentials, or identity
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations
• Interfere with or disrupt the platform's operation
• Attempt to gain unauthorized access to any part of the platform
• Use the platform for any illegal or unauthorized purpose
• Circumvent any security measures or access controls

Security professionals must maintain valid licenses and certifications as required by applicable law and accurately represent their qualifications at all times.

5. Fees and Payment

SecurityX operates on a usage-based pricing model. By using our services, you agree to the following payment terms:

• Fees are charged based on platform usage and services rendered
• Accounts operate on a pre-loaded balance system
• You are responsible for maintaining sufficient account balance
• All fees are non-refundable except for unused account balances upon account closure
• We reserve the right to modify pricing with reasonable notice

6. Intellectual Property

SecurityX and its licensors own all rights, title, and interest in and to the platform, including all intellectual property rights. This includes:

• The SecurityX name, logo, and trademarks
• Platform design, features, and functionality
• Software, code, and underlying technology
• Content created by SecurityX

You retain ownership of content you submit to the platform. By submitting content, you grant SecurityX a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with providing our services.

7. Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SECURITYX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SecurityX does not guarantee:

• Employment or staffing opportunities for any user
• The accuracy or reliability of user-provided information
• Uninterrupted or error-free platform operation
• The conduct or qualifications of any user

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURITYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

8. Indemnification

You agree to indemnify, defend, and hold harmless SecurityX, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit to the platform

9. Termination

SecurityX may terminate or suspend your account and access to the platform at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting support.

Upon termination:

• Your right to access and use the platform will cease immediately
• You remain liable for any outstanding obligations
• Unused account balances may be refunded in accordance with our refund policy
• Provisions that by their nature should survive termination will remain in effect

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of SecurityX shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida, and the arbitrator's decision shall be final and binding.

11. Changes to These Terms

SecurityX reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the platform and updating the "Last updated" date. Your continued use of SecurityX after such changes constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
